St. Dominic Athletic Association

By Laws

 

 

Article I

Name

 

The name of this organization shall be the St. Dominic Athletic Association (hereafter known as SDAA).  SDAA is an entity of St. Dominic High School, O'Fallon, MO, and therefore of the Archdiocese of St.; Louis, the status of which is nonprofit corporation, exempt from the taxes as defined in 144.030.2 and 144.615, RSMO and 501(c) (3) of the Federal IR Code.

 

Article II

Purpose and Objective

 

Section 1:  The purpose of this organization’s existence is to support and assist through funding, the total interscholastic athletic program at St. Dominic High School, while recognizing and respecting the school administration’s responsibility to determine what that program shall include and the policies that shall be followed.  No monies raised by the SDAA shall be used for the salary or stipend of staff members, specifically coaching staff members, without prior approval of St. Dominic High School administration.

 

Section 2: SDAA shall advise the Administrator and the Athletic Director on the status and the direction of its own supportive activities, shall work with the Administrator and the Athletic Director on the determination of projects above and beyond the Athletic Department budget, and shall not begin projects without the consent of the school administration.  The Administrator or the Administrator’s delegate shall secure the coordination of SDAA projects with the larger efforts of the school fund-raising office, and the school’s philosophy and mission.

 

Section 3:  SDAA members shall exhibit exemplary sportsmanship at all times, and shall always strive to be gracious hosts for the teams and other followers that visit our school and community.  SDAA will encourage interest and participation in the athletic activities of St. Dominic High School.

 

Article III

Organization

 

Section 1:  The activities of SDAA shall be developed and directed by the elected officers.

 

Section 2: The governing body of the SDAA organization shall consist of the Administrator, Athletic Director of St. Dominic High School or the Administrator’s delegate, and the elected officers, assisted by such regular and special committees as may be established by duly constituted authority.

 

Section 3: The Athletic Director shall prepare the Athletic Department budget, and present it to the High School Administrators for approval.  The determination of the Athletic Director’s, independent budget shall be the responsibility of the Administrator and the Athletic Director, independent of SDAA.

 

Article IV

Officers

 

Section 1: The Administrator of St. Dominic High School shall be the Chief Executive Officer of SDAA.

 

Section 2:  The elected officers of this organization shall consist of President, President-elect, Secretary and Treasurer.

 

Section 3:  Officers shall be elected at the May meeting by ballot of the general membership for a two year term. (A term may be extended by vote of the general membership.) Nominations shall be made at the April meeting.

 

Section 4: The high School Athletic Director shall serve as the ex-officio, nonvoting member of the SDAA Executive Board, and liaison to the Administration of St. Dominic High School.

 

Section 5:  The Executive Board shall consist of the High School Administrator, the elected officers and the Athletic Director.

 

 

Article V

Duties of Officers

 

Section 1: President. The president shall preside at all meetings, executive and vernal, of the organization.  The president shall appoint all special committees and supervise their activities.

 

Section 2:  President-elect.  The president-elect shall reside over all meetings in the absence of the President.  The president-elect shall be agreeable and committed to becoming President of the organization at the close of the President’s term.  (Unless otherwise changed by a vote of the general membership.)

 

Section 3: The Secretary. The Secretary shall keep accurate record of all meetings and decisions of the SDAA, prepare and distribute (as appropriate) copies of the minutes, agenda, by laws, membership roster, and all other documents of the organization.  The secretary shall also prepare and distribute all notifications, communications, and correspondence of SDAA coordinating any publicity efforts undertaken by the organization.

 

Section 4: The Treasurer.  The treasurer shall account for all monies of the organization; issue all bills, keep an accurate record of receipts and expenditures; pay out funds as authorized by the Executive Board; present a statement of account at any times when requested by the President; make a full report annually.  The treasurer will keep the checking account for SDAA, which shall bear the signature of at least the treasurer and the High School Administrator.  

 

Article VI

Membership

 

Section 1:  Any person 21 years of age or older, interested in and willing to uphold the mission and objectives of SDAA and its By Laws, may become a regular member of SDAA.

 

Section 2:  Membership is constituted by the appearance of the name of the person on the current official roster, and at a time prior to the meeting where the member intends to vote.

 

Article VII

Election of Officers

 

Section 1:  Nominations for any elected offices will be proposed by the Executive Board, or may be given from the floor of the general meeting, at a time of election.

 

Section 2:  Only those who have consented to serve if elected shall be placed in nomination.

 

Section 3:  If a vacancy is confirmed by the Executive Board, it may be filled by election at the next general meeting.

 

Section 4:  Officers shall be elected when they receive more votes than any opponent, but must consequently be affirmed by a true majority of those voting members present.

 

Section 5:  Officers may serve more than one consecutive term.

 

Article VIII

Committees

 

Section 1: Committees shall be appointed by the President as required to promote the objectives and otherwise carry out the legitimate work of the SDAA. (Special committees, special projects and fundraising.)

 

Section 2: The work and plans of the committee shall be approved by t the Executive Board.

 

Article IX

Meetings

 

Section 1: General meetings of the SDAA shall be held on the second Wednesday of each month from September to May inclusive.  Additional meetings may be called and announced by the Executive Board.  The usual monthly meeting may be canceled for just cause or unavoidable conflict.

 

Section 2:  The meetings shall normally take place at St. Dominic High School unless otherwise arranged and publicized. 

 

Section 3: Executive Board meetings should be called by the President of SDAA, and will be held any time prior to the general meeting, allowing time for the agenda of the general meeting to be prepared and publicized.

 

Section 4: A quorum of the Executive Board, consisting of at least 3 of the elected officers, shall be required to conduct Board business.

 

Section 5:  Items for the agenda consonant with the intended and stated purposes of SDAA may be submitted to the Executive Board or its members anytime prior to the Board Meeting, or otherwise no less than 2 weeks prior to the General Meeting.

 

Section 6: The General Meeting will be conducted according to the above guideline (cf.Art.IX, section 4), and Robert's Rules of Order, revised, or some other reasonable parliamentary procedure prescribed by the President.

 

Article X

 

Ratification and Amendment of the SDAA Constitution

 

Section 1: Ratification amendment of this documentation will occur when:

 

            a) The proposal to do such is a formal agenda item publicized to the membership in advance of the meeting.

 

            b) The proposal to ratification or amendment is accepted by a minimum of two-thirds of the membership present at the regular SDAA meeting.
